These Terms of Service ("Terms") govern your access to and use of www.otoorusa.com, your use of related website features and services, and purchases made from OTOOR USA LLC, doing business as OTOOR USA ("OTOOR USA," "we," "us," or "our").

Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer products and related services to you.

By accessing or using our website, you agree to the provisions of these Terms that apply to website use. By submitting an order, you agree that your order and purchase are subject to these Terms and the policies incorporated into them.

Please review these Terms and our applicable store policies before submitting an order. If you do not agree to these Terms, please do not use the website or submit an order.

1. Incorporated Policies

The following policies are incorporated into and form part of these Terms where applicable:

• Shipping Policy
• Return & Refund Policy
• Privacy Policy
• Promotion-specific terms expressly displayed with an applicable offer
• Other order-specific terms or notices expressly displayed before or during checkout

If these Terms conflict with a more specific policy governing a particular subject, the more specific policy will control with respect to that subject.

For example:

• Shipping, processing, delivery, lost-package, carrier, and transportation matters are governed primarily by our Shipping Policy.
• Damaged, defective, incorrect, or missing-product claims, approved returns, replacements, and refunds are governed primarily by our Return & Refund Policy.
• The collection, use, disclosure, and processing of personal information are governed primarily by our Privacy Policy.

2. Eligibility

You may place an order only if you are legally capable of entering into a binding agreement.

By using the website or submitting an order, you represent that you are at least 18 years old or have reached the age of legal majority in your jurisdiction, or that you are using the website with the permission and supervision of a parent or legal guardian who agrees to these Terms.

You may not use the website, our services, or our products for an unlawful, fraudulent, abusive, or unauthorized purpose.

3. Customer Accounts

Certain website features may allow or require you to create or use a customer account.

When creating or using an account, you agree to:

• Provide current, complete, and accurate information
• Maintain the confidentiality of your login credentials
• Update your information when it changes
• Accept responsibility for activity performed through your account to the extent permitted by law
• Notify OTOOR USA promptly if you reasonably suspect unauthorized account access

You may not create or use an account using another person's identity or information without authorization.

OTOOR USA may reasonably restrict, suspend, or close an account when we believe it is being used for fraud, payment abuse, unauthorized activity, materially false claims, violation of these Terms, or conduct that threatens our customers, website, business, or service providers.

Closing an account does not eliminate obligations or rights relating to prior orders, payments, refunds, returns, disputes, or violations.

4. Product Information

We make reasonable efforts to accurately display product names, brands, descriptions, sizes, concentrations, photographs, packaging, prices, availability, and other product information.

However:

• Product photographs may appear differently depending on a customer's device, screen, lighting, or display settings.
• Manufacturers may update bottles, boxes, labels, packaging, ingredients, or design details.
• Minor packaging, label, bottle, color, or batch variations may occur.
• Product availability may change before an order is fulfilled.
• Typographical, pricing, inventory, or product-description errors may occasionally occur.

Minor manufacturer variations that do not materially change the identity or normal use of a product are not automatically considered defects or fulfillment errors.

A product that is materially different from the product description displayed at the time of purchase may qualify for review under our Return & Refund Policy.

5. Authenticity and Third-Party Brands

OTOOR USA sells 100% authentic fragrance products. We do not knowingly sell non-genuine or counterfeit products.

We source inventory through established distributors and wholesale suppliers and maintain purchase documentation and supplier records for inventory acquired for resale.

OTOOR USA LLC is an independent fragrance retailer. Unless expressly stated otherwise, the sale or display of a brand's products on our website does not mean that OTOOR USA is affiliated with, sponsored by, endorsed by, or an authorized distributor or retailer of that brand.

Brand names, trademarks, logos, product names, packaging, and other intellectual property associated with third-party manufacturers belong to their respective owners.

Third-party brand names, product images, trademarks, and product information may be displayed for legitimate product-identification, informational, and retail purposes. Their appearance on our website does not, by itself, imply affiliation, sponsorship, authorization, or endorsement.

6. Fragrance Characteristics and Personal Preference

Fragrance experience may vary based on factors including:

• Personal preference
• Skin chemistry
• Application method
• Climate and environment
• Storage conditions
• Fragrance batch
• Individual perception

OTOOR USA does not guarantee that a fragrance will smell the same on every person, match every customer's expectations, perform identically to a tester, sample, previous bottle, online review, or personal memory, or provide a particular level of intensity, projection, or longevity for every customer.

Disliking a fragrance, changing your mind, or experiencing fragrance performance different from your expectations does not by itself establish that a product is damaged, defective, incorrect, or materially misdescribed.

Change-of-mind and fragrance-preference returns are not accepted as described in our Return & Refund Policy.

7. Product Use and Safety

Customers should review and follow applicable manufacturer labels, ingredient information, instructions, warnings, storage recommendations, and safety information.

Products should not be used in a manner inconsistent with their intended purpose or applicable manufacturer instructions.

Fragrance products should be protected from inappropriate conditions such as excessive heat, freezing temperatures, prolonged direct sunlight, moisture, flames, or other unsuitable storage conditions.

If you experience irritation or another adverse reaction, discontinue use. If you experience a severe or life-threatening reaction, seek appropriate emergency medical care.

Website information is provided for general product-information purposes and is not medical advice.

Applicable manufacturer or government safety recalls will be handled in accordance with official recall instructions and applicable law.

8. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the products included in that order.

An order confirmation acknowledges that we received your order. It does not necessarily mean that the order has completed verification, processing, or shipment.

Before shipment or final fulfillment, OTOOR USA may reasonably place an order on hold, limit it, decline it, or cancel it for legitimate reasons including:

• Product unavailability
• An obvious pricing or product-information error
• Payment authorization failure
• Suspected fraud or unauthorized payment
• Billing or shipping information that cannot reasonably be verified
• Shipping, carrier, product, or transportation restrictions
• An error materially affecting the order
• Attempts to evade an applicable purchase limit
• Use of unauthorized automated purchasing tools
• Unusually large or repetitive orders presenting a reasonable fraud, inventory, or fulfillment concern
• Violation of these Terms or another applicable store policy

If OTOOR USA cancels an entire paid order before shipment, we will initiate a refund for the canceled merchandise, applicable sales tax, and any customer-paid shipping charge associated with that canceled order to the original payment method.

If only part of an order is canceled before shipment, the refund will include the canceled merchandise and applicable sales tax. Any adjustment to the original shipping charge will depend on the shipping service that remains necessary for the items that will still be shipped.

If an ordered product becomes unavailable, we may contact the customer with available options, including removal and refund of the unavailable product or cancellation and refund of the affected order.

We will not substitute a different product without the customer's approval.

9. Purchase and Quantity Limits

OTOOR USA is a retail fragrance store.

We may establish reasonable purchase limits by product, customer, household, account, payment method, billing address, shipping address, or order.

We may reasonably limit or cancel an order when it:

• Exceeds a published or reasonable quantity limit
• Uses unauthorized automated purchasing methods
• Is structured to evade a purchase limit
• Is connected to suspected fraud or payment abuse
• Appears intended to interfere with product availability for other customers
• Creates a reasonable security, fulfillment, inventory, or carrier concern

Purchase limits and related actions will be applied reasonably and subject to applicable law.

10. Prices and Availability

Unless otherwise expressly stated, prices displayed on our website are in U.S. dollars.

Prices and product availability may change before an order is submitted.

The product price charged is generally the price displayed during checkout when the order is submitted, subject to correction of an obvious error.

The final order total displayed before submission may also include applicable taxes, shipping charges, and any other charges clearly disclosed during checkout.

If an obvious pricing, discount, inventory, or product-information error materially affects an order, we may contact the customer before fulfillment and:

• Offer the customer the option to proceed at the corrected price
• Remove and refund the affected product
• Cancel and refund the affected order

We will not charge a higher corrected product price without the customer's approval.

Products placed in a shopping cart are not reserved until the applicable order is successfully submitted and inventory remains available.

11. Payment Authorization

By submitting payment information, you represent that:

• The information provided is accurate
• You are authorized to use the selected payment method
• You authorize payment of the order total displayed before submission
• The order total may include product charges, applicable taxes, shipping charges, and any other charges clearly disclosed during checkout

Payment processing may be performed by Shopify or another payment-service provider. Applicable payment providers may have their own terms and privacy practices.

A payment authorization or temporary pending charge does not necessarily mean that an order has completed verification or fulfillment.

Approved refunds are issued to the original payment method unless another method is required by applicable law or the payment provider.

Bank or payment-provider authorization holds may remain temporarily after an order is canceled, declined, or refunded. The timing for release of those holds is generally controlled by the financial institution or payment provider.

12. Taxes

Applicable sales tax is calculated based on the products ordered, customer information, shipping destination, and applicable tax requirements.

Applicable taxes will be displayed during checkout before an order is submitted.

Customers are responsible for providing accurate information relevant to tax calculation.

13. Order Verification and Fraud Prevention

To protect customers and OTOOR USA, certain orders may require additional verification before shipment.

We may reasonably request confirmation of information such as:

• Customer identity
• Billing information
• Shipping information
• Payment authorization
• The relationship between the customer and payment-account holder
• Other information reasonably necessary to verify the transaction

We may delay, place on hold, decline, or cancel an order when requested information is not provided, information cannot reasonably be verified, or the transaction presents a reasonable risk of fraud or unauthorized payment.

Verification information is handled in accordance with our Privacy Policy and applicable law.

If verification affects our stated shipping timeframe, the delay will be handled in accordance with our Shipping Policy and applicable requirements.

14. Shipping and Delivery

Orders are generally processed and transferred to the shipping carrier within 1–4 business days, subject to the terms described in our Shipping Policy.

Shipping charges are calculated and displayed at checkout based on the delivery destination, available shipping service, package characteristics, and other applicable shipping factors.

OTOOR USA currently ships to eligible U.S. destinations for which an available shipping service is displayed at checkout.

Shipping availability may vary based on destination, product type, package characteristics, carrier requirements, and applicable transportation restrictions.

Certain destinations and address types may have limited or unavailable shipping options, including Alaska, Hawaii, Washington, D.C., U.S. territories, military addresses, and P.O. boxes.

Availability to a particular destination is not guaranteed. If no eligible shipping service is displayed at checkout for a destination, we are unable to accept shipment to that address through the available checkout options.

OTOOR USA does not currently offer international shipping outside eligible U.S. destinations.

UPS is a primary carrier for many eligible orders. Available carrier services may vary depending on destination, package characteristics, product restrictions, and carrier availability.

Only shipping services available for the specific order and destination will be displayed during checkout.

OTOOR USA may use another eligible carrier or shipping service when reasonably necessary because of carrier availability, product restrictions, package characteristics, or transportation requirements.

Carrier transit time begins after the package has been accepted by the shipping carrier. Estimated transit times depend on the shipping service selected, destination, carrier conditions, and applicable transportation restrictions.

Delivery dates and timeframes are estimates and are not guaranteed unless a specifically guaranteed shipping service is expressly identified as guaranteed by the applicable carrier.

Shipping methods, tracking, delivery estimates, address requirements, signature requirements, fragrance transportation restrictions, delayed shipments, lost shipments, refused packages, and delivery claims are governed by our Shipping Policy.

If OTOOR USA determines that an order cannot be shipped within the stated processing timeframe, we will notify the customer and provide the applicable option to accept the revised timeframe or cancel the affected unshipped merchandise for a refund, as described in our Shipping Policy and as required by applicable law.

15. Fragrance Transportation Restrictions

Perfumes, alcohol-based fragrances, aerosols, and certain related products may be subject to carrier, packaging, destination, or transportation restrictions.

As a result:

• Certain air or expedited services may be unavailable.
• Certain destinations or address types may be unavailable.
• A specific carrier service may be unavailable for certain fragrance products.
• OTOOR USA may need to use another eligible carrier or shipping service.
• The customer may be contacted regarding an eligible alternative shipping option or address.
• A restricted product may need to be removed and refunded.
• An affected order may need to be canceled and refunded if an eligible shipping method is unavailable.

Available shipping destinations and services are governed by our Shipping Policy and the options made available during checkout.

Customers must not independently return perfumes, aerosols, alcohol-based fragrance products, or other regulated products using an unauthorized carrier, shipping label, service, or mailing method.

16. Returns, Claims, Replacements, and Refunds

OTOOR USA does not accept discretionary returns or exchanges for non-defective products because of a change of mind, fragrance preference, buyer's remorse, an unwanted gift, or a customer ordering mistake.

Claims are accepted for orders involving products that arrive damaged, defective, incorrect, or missing, subject to our Return & Refund Policy.

For purposes of these Terms, an incorrect product may include a product that differs from what was ordered, is supplied in the wrong size, concentration, format, or quantity, or is materially different from the product description displayed at the time of purchase.

Eligible claims must be submitted within 14 calendar days after the carrier records the package as delivered.

Visible damage, leakage, tampering, missing products, or fulfillment errors should be reported within 48 hours after delivery whenever reasonably possible.

A claim submitted after 48 hours but within the 14-calendar-day claim period is not automatically approved or denied solely because it was not reported within 48 hours.

A physical return is required only when OTOOR USA authorizes a return for an eligible claim. A missing-item claim does not require a physical return unless an incorrect product was received and must be returned.

When an approved claim requires a physical return, OTOOR USA will provide or approve the applicable return method and will pay the approved return-shipping cost.

No restocking fee is charged for an approved damaged, defective, incorrect, or missing-product claim.

Approved returns must be transferred to the authorized carrier within 7 calendar days after return instructions are issued, unless an extension is approved in writing.

Approved refunds are initiated to the original payment method within 2 business days after final approval. A customer's bank, card issuer, or payment provider may take additional time, generally up to 10 business days, to post the funds after we initiate the refund.

Original shipping charges are generally non-refundable after shipment unless required by law or the refund results from an error by OTOOR USA or another circumstance expressly covered by our Return & Refund Policy or Shipping Policy.

When the entire order is refunded because of OTOOR USA's material shipping or fulfillment error, or because of confirmed carrier loss before delivery or confirmed transit damage for which the customer is not responsible, the applicable original customer-paid shipping charge will also be refunded.

Submitting a claim does not automatically guarantee approval, return authorization, replacement, or refund.

Complete eligibility requirements, evidence requirements, approved return methods, inspections, available resolutions, refund amounts, and refund timing are governed by our Return & Refund Policy.

17. Order Changes and Cancellations

Order-change and cancellation requests should be submitted as soon as possible to support@otoorusa.com.

We will make reasonable efforts to accommodate a change or cancellation request before fulfillment begins, but changes and cancellations are not guaranteed.

An order generally cannot be changed or canceled after it has been packed and transferred to the shipping carrier or when the shipment can no longer reasonably be intercepted.

If an entire order is successfully canceled before shipment, the approved refund will include the canceled merchandise, applicable sales tax, and any customer-paid shipping charge associated with the canceled order, and will be issued to the original payment method.

If only part of an order is canceled, any shipping-charge adjustment will depend on the circumstances of the remaining order and will be handled in accordance with our Shipping Policy and Return & Refund Policy.

If OTOOR USA cannot ship an order within the timeframe stated in our Shipping Policy, the applicable delay, cancellation, and refund procedures described in that policy will apply.

18. Promotions and Discount Codes

Promotions, discount codes, special prices, gifts, and other promotional offers may be subject to additional terms clearly displayed with the applicable offer.

Unless otherwise expressly stated:

• Promotions may not be combined.
• Discounts have no cash value.
• Discounts cannot be retroactively applied after an order is submitted.
• Discounts apply only during the stated promotional period.
• Discounts may apply only to specified products, customers, quantities, or geographic areas.
• Taxes generally are not reduced except as required by applicable tax rules.

OTOOR USA may reasonably cancel, suspend, or correct a promotion affected by an obvious error, technical malfunction, fraud, abuse, unauthorized distribution, or attempts to evade clearly disclosed promotional limitations.

Any promotion affecting shipping will be clearly identified. Unless an applicable promotion expressly states otherwise, our standard shipping terms remain governed by our Shipping Policy.

We will not retroactively increase the price of an accepted order merely because a properly applied promotion later ends or changes.

19. Electronic Communications

By creating an account, contacting us, or placing an order, you agree that transaction-related communications may be provided electronically.

These communications may include:

• Order confirmations
• Payment notices
• Verification requests
• Shipping confirmations
• Delivery updates
• Customer-service communications
• Return and refund communications
• Material notices relating to an order

Marketing communications will be sent only as permitted by applicable law and may be unsubscribed from using the instructions included in those communications.

You are responsible for providing and maintaining accurate contact information.

20. Customer Reviews and Submitted Content

Customers may be able to submit reviews, photographs, comments, questions, feedback, or other content.

You retain ownership of original content you create.

When you voluntarily submit content directly to OTOOR USA for publication or display, you grant OTOOR USA a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute that content as reasonably necessary to operate the website, display the submission, administer website features, and promote OTOOR USA or the product associated with the submission.

This license does not transfer ownership of your original content to OTOOR USA.

You represent that content you submit:

• Reflects your genuine experience when presented as a review
• Is accurate to the best of your knowledge
• Does not infringe another person's intellectual-property, privacy, or publicity rights
• Does not disclose confidential or private information without authorization
• Does not contain unlawful, threatening, fraudulent, deceptive, or malicious material
• Does not contain viruses, malware, or harmful code
• Does not impersonate another person
• Does not include a paid endorsement or material incentive without appropriate disclosure

OTOOR USA may decline to publish or may remove content that violates these standards or applicable law.

OTOOR USA will not prohibit, penalize, or retaliate against a customer merely for expressing an honest opinion, including an honest negative review based on the customer's genuine experience.

21. Prohibited Uses

You may not use the website or our services to:

• Violate applicable law
• Commit or facilitate fraud
• Use another person's identity or payment information without authorization
• Submit materially false claims or fabricated evidence
• Interfere with website security or operation
• Introduce malware or harmful code
• Attempt unauthorized access to accounts, systems, or networks
• Circumvent reasonable quantity, account, payment, promotion, or access restrictions
• Harass, threaten, impersonate, or unlawfully harm another person
• Infringe intellectual-property, privacy, publicity, or other legal rights
• Submit fake reviews or deceptive endorsements
• Use unauthorized automated methods in a manner that materially disrupts the website or circumvents reasonable controls

We may reasonably restrict access, close an account, or cancel an affected order when we reasonably believe a prohibited use has occurred, subject to applicable law.

22. Intellectual Property

The OTOOR USA name, branding, original website text, page design, graphics, icons, videos, software, and other original materials created or owned by OTOOR USA are protected by applicable intellectual-property laws.

Other materials appearing on the website, including certain product photographs, manufacturer materials, brand names, logos, packaging, trademarks, and product information, may be owned by third parties, licensed to us, supplied by manufacturers or distributors, or otherwise used for legitimate retail and product-identification purposes.

You may use the website for lawful personal shopping and informational purposes.

Without appropriate authorization, you may not use OTOOR USA branding or website materials in a manner that falsely implies sponsorship, affiliation, authorization, endorsement, or ownership.

Third-party product names, trademarks, brand names, logos, and packaging remain the property of their respective owners.

Nothing on this website grants you a license to use a third party's trademark or other intellectual property except as permitted by applicable law.

23. Third-Party Services and Links

The website may use or provide access to services, applications, payment tools, carrier tools, social-media features, analytics providers, or links operated by third parties.

Third-party services may be governed by their own terms and privacy policies.

OTOOR USA does not control every third-party service or website and is not responsible for their independent content, availability, security practices, privacy practices, terms, or conduct.

The presence of a third-party link or integration does not, by itself, mean that OTOOR USA endorses every statement, product, or service offered by that third party.

24. Shopify Platform

The OTOOR USA online store is hosted using Shopify's ecommerce platform.

Shopify provides technology supporting website hosting, shopping-cart functionality, customer-account features, checkout, payments, and other ecommerce functionality.

OTOOR USA LLC remains the seller responsible for products sold by OTOOR USA through this store unless another seller is expressly identified.

Technical features, checkout functionality, available payment methods, or platform services may change based on Shopify or other service providers.

25. Privacy

The collection, use, disclosure, retention, and processing of personal information are governed by our Privacy Policy.

Personal information may be processed by service providers involved in website operation, payment processing, fraud prevention, fulfillment, shipping, analytics, marketing, or customer support as described in that policy.

26. Website Availability and Errors

We make reasonable efforts to keep the website available and accurate, but we do not guarantee that:

• Access will always be uninterrupted
• Every feature will always remain available
• The website will always be free from technical errors
• Product availability will update instantaneously
• Every technical issue will be corrected immediately

We may update, restrict, suspend, or discontinue website features when reasonably necessary for maintenance, security, compliance, technical reasons, or business operations.

We reserve the right to correct website errors or inaccurate information, subject to our obligations regarding existing orders and applicable law.

27. Website Disclaimer

To the fullest extent permitted by applicable law, the website and general informational content are provided on an "as available" basis.

We do not guarantee uninterrupted access to every website feature or freedom from every technical error.

This disclaimer applies primarily to website availability, website functionality, and general informational content.

It does not:

• Eliminate an express commitment made in an accepted order
• Eliminate obligations under our Shipping Policy or Return & Refund Policy
• Exclude warranties or remedies that legally apply and cannot be waived
• Excuse fraud, intentional misconduct, gross negligence, or deceptive practices
• Limit applicable product-safety or product-liability obligations
• Limit nonwaivable consumer-protection rights

28. Limitation of Liability

To the fullest extent permitted by applicable law, OTOOR USA LLC will not be responsible for indirect, incidental, special, or consequential losses arising solely from temporary website unavailability, a technical interruption, a technical error not resulting from intentional misconduct or gross negligence, or a customer's unlawful or unauthorized use of the website.

This limitation does not apply to liability that applicable law does not permit us to exclude or limit, including where applicable liability arising from:

• Fraud or intentional misconduct
• Gross negligence
• Death or personal injury
• Defective or unsafe products
• Applicable product-liability obligations
• Breach of an accepted order
• Violation of applicable privacy or data-protection obligations
• Nonwaivable consumer-protection rights

Nothing in these Terms limits a remedy expressly provided by our Shipping Policy, Return & Refund Policy, or applicable law.

29. Responsibility for Unlawful or Unauthorized Conduct

You may be responsible for direct losses reasonably caused by your intentional fraud, unlawful use of the website, unauthorized use of another person's identity or payment information, submission of malicious software, infringement of another person's legal rights, or submission of unlawful content.

This section does not make a customer responsible for OTOOR USA LLC's negligence, defective products, breach of these Terms, unlawful conduct, or losses unrelated to the customer's conduct.

30. Events Outside Reasonable Control

OTOOR USA may experience delays or interruptions caused by circumstances outside our reasonable control, including severe weather, natural disasters, carrier disruptions, transportation interruptions, government restrictions, labor disruptions, utility or internet failures, cybersecurity incidents, widespread emergencies, or supply interruptions.

We will make reasonable efforts to communicate material order-related delays and provide the options required by our Shipping Policy and applicable law.

This section does not eliminate a customer's right to cancel or receive a refund when required by applicable law.

31. Disputes and Payment Claims

Customers are encouraged to contact OTOOR USA promptly at support@otoorusa.com when they believe an order, charge, shipment, return, or refund contains an error so that we can investigate the concern.

We will make reasonable efforts to investigate legitimate concerns.

Customers may not knowingly submit fraudulent claims, materially false payment disputes, duplicate refund requests intended to obtain multiple recoveries for the same loss, fabricated delivery claims, altered evidence, or other intentionally deceptive claims.

Nothing in these Terms prevents a customer from exercising lawful rights through a card issuer, payment provider, consumer-protection agency, government authority, court, or other legally available forum.

32. Governing Law

These Terms and transactions with OTOOR USA LLC are governed by the laws of the State of New Jersey and applicable federal law, without regard to conflict-of-law principles, except to the extent another law must apply and cannot legally be waived.

Nothing in these Terms prevents a consumer from bringing a claim in a court or forum permitted by applicable law.

Nothing in this section removes mandatory consumer rights that apply to the customer or transaction.

33. Severability

If a provision of these Terms is found to be unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted by law or limited to the minimum extent necessary.

The remaining provisions will continue in effect.

34. No Waiver

If OTOOR USA does not immediately enforce a provision of these Terms, that does not mean that we permanently waive the right to enforce it later.

A waiver by OTOOR USA is effective only when clearly made by an authorized representative.

35. Assignment

Customers may not transfer contractual rights or obligations arising under these Terms to another person where the transfer would materially affect OTOOR USA's rights or obligations without our written approval, except where applicable law provides otherwise.
